Terms of Service

These Terms of Service govern your use of the Resayil AI for Shopify app published on the Shopify App Store ("App B"), operated by Alphia Ventures Sdn Bhd, a company incorporated in Malaysia ("we", "our", or "Alphia"). By installing the app you agree to these terms.

These terms apply solely to App B (the Shopify App Store public listing). If you are a direct-invite merchant ("App A"), your relationship is governed by the separate merchant agreement signed at onboarding.

1. The Service

Resayil AI for Shopify provides an AI-powered store operations agent accessible via your merchant dashboard. The agent can read and update your Shopify store (products, inventory, orders, customers, discounts, and themes) within the Shopify API scopes you grant at installation.

All irreversible or destructive store operations require your explicit approval before the agent executes them. The service is a business tool for Shopify store owners and authorised team members only — it is not intended for consumers.

2. Subscription and Billing

App B billing is handled exclusively through the Shopify Billing API (recurring application charges). Your subscription is charged to your Shopify account. Alphia does not directly collect or store your payment card details.

Subscription fees and plan tiers are displayed at the time of installation and within your Shopify admin under Apps > Resayil AI. All fees are billed in USD.

Cancelling the app through your Shopify admin will end your subscription at the close of the current billing period. Refunds are calculated on a pro-rata basis for the unused portion of the billing period, subject to Shopify's billing policies.

3. Shopify API Scopes and Data Access

The app requests the minimum Shopify API scopes needed to provide the described functionality. You retain full control over your Shopify store data. You may revoke the app's access at any time by uninstalling it from your Shopify admin.

The app accesses Protected Customer Data (PCD) — including customer names, email addresses, phone numbers, shipping addresses, and order history — solely to fulfil operations you direct the agent to perform on your behalf. PCD is never used for advertising, profiling, or any purpose other than providing the service. See our Privacy Policy for full details.

4. Acceptable Use

• You must use the service only for legitimate Shopify store operations.
• You must not use the service to violate Shopify's Partner Program Agreement or Acceptable Use Policy.
• You must not attempt to reverse-engineer, scrape, or abuse the service's API endpoints.
• You are responsible for ensuring that team members you grant access to operate within these terms.
• You must not instruct the agent to perform operations that would violate applicable law.

5. Intellectual Property

The Resayil AI service, its software, branding, and documentation are the intellectual property of Alphia Ventures Sdn Bhd. Installing the app grants you a limited, non-exclusive, non-transferable licence to use the service for your store during an active subscription. No other rights are granted.

Content generated by the AI agent at your instruction (blog articles, product descriptions, etc.) is written to your Shopify store and becomes your content. Alphia makes no claim to ownership of merchant-generated content.

6. Limitation of Liability

The service is provided "as is". To the maximum extent permitted by applicable law, Alphia is not liable for indirect, incidental, special, or consequential damages arising from your use of the service, including but not limited to lost profits, data loss, or business interruption.

Alphia's total liability for any claim arising from the service shall not exceed the total fees paid by you in the twelve months preceding the claim.

7. Changes to These Terms

We will notify active subscribers of material changes to these terms via dashboard notification and email at least 14 days before the change takes effect. The "Last updated" date at the top of this page always reflects the current version. Continued use of the app after the effective date constitutes acceptance of the updated terms.

8. Governing Law

These terms are governed by the laws of Malaysia. Any dispute shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia, except where mandatory consumer-protection law in your jurisdiction requires otherwise.
